Your agreement with OHLC
These Terms of Service govern your use of the websites, APIs, market data, and account services provided by OHLC LLC, an Arizona company (“OHLC,” “we,” or “us”). By accessing or using the services, you agree to these terms. If you use OHLC for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services. You must be legally able to enter this agreement.
Accounts and security
Provide accurate account information and keep it current. You are responsible for activity under your account and for protecting passwords and API keys. Keep secret keys out of public code and client-side applications, revoke compromised keys, and promptly report unauthorized access to [email protected]. Do not share access in a way that bypasses plan limits or licensing restrictions.
Access and market data rights
Subject to these terms and your selected plan, OHLC grants you a limited, non-exclusive, non-transferable right to access the service for permitted uses. OHLC and its licensors retain ownership of the service, software, documentation, and data rights. No rights are granted beyond those expressly provided.
Your plan and any applicable written license determine permitted data use. Free and Developer plans are for personal use; Pro is for internal use. Commercial display and redistribution require a Commercial or Scale plan and compliance with applicable licensing conditions. A subscription does not grant unrestricted resale, sublicensing, or redistribution rights. Additional exchange or data-provider requirements disclosed for a dataset also apply.
Acceptable use
You must not:
- Use the service unlawfully or violate another party’s rights.
- Bypass authentication, rate limits, usage quotas, access controls, or licensing restrictions.
- Probe, disrupt, overload, or compromise the service or other users’ accounts.
- Resell or redistribute data beyond the rights included in your plan or written agreement.
- Misrepresent data sources, remove required notices, or use the service to facilitate fraud.
Subscriptions, billing, and cancellation
Paid subscriptions are billed in advance at the price and billing interval presented at checkout, plus applicable taxes. By subscribing, you authorize recurring charges through our payment processor until you cancel. Usage limits and included features are shown on the pricing page and in your account. OHLC does not charge usage overages; plan limits apply.
You may manage or cancel your subscription through the billing portal, or contact support if you cannot access it. Cancellation takes effect at the end of the current paid period. Payments are non-refundable except where required by law or expressly agreed by OHLC. We will communicate changes to recurring prices before they apply, and you may cancel before renewal. Failed payments may result in restricted or suspended access.
Data limitations and financial decisions
OHLC provides data and developer tools, not investment advice, brokerage, or trading execution. Market data may be delayed, incomplete, corrected, or unavailable. Quotes described as delayed are delayed by 15 minutes; derived pricing is not consolidated real-time exchange pricing. Examples labeled as sample data are illustrative.
You are responsible for evaluating the suitability and accuracy of data for your application and for your financial decisions. Do not rely on OHLC as the sole source for trading decisions or other time-sensitive activity.
Availability, changes, and suspension
We may maintain, update, or change the service. Maintenance, third-party failures, and other interruptions can affect availability. Unless a separate written agreement provides otherwise, we do not guarantee uninterrupted access, a particular response time, or continued availability of every dataset. We may restrict or suspend access for nonpayment, violations of these terms, security risks, or legal requirements. You may stop using the service at any time; cancellation of paid subscriptions is described above.
Personal information
Our Privacy Policy explains how we collect, use, and disclose personal information. You are responsible for complying with privacy laws applicable to your own applications and for having the rights necessary to provide information to OHLC.
Disclaimers
To the fullest extent permitted by law, the services and data are provided “as is” and “as available,” without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Nothing in these terms excludes a warranty or right that cannot lawfully be excluded.
Limits of liability
To the fullest extent permitted by law, OHLC is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, data, or trading losses arising from use of or inability to use the services. OHLC’s total liability arising from the services or these terms will not exceed the amounts you paid to OHLC in the 12 months before the event giving rise to the claim. These limits do not apply to liability that cannot lawfully be limited.
Governing law and disputes
Arizona law governs these terms, excluding its conflict-of-law rules, except where mandatory law provides otherwise. Subject to any non-waivable consumer rights, disputes will be brought in the state or federal courts located in Arizona, and the parties consent to those courts’ jurisdiction. Please contact [email protected] first so we can try to resolve any concerns.
Changes and other terms
We may revise these terms and will post the revised version with an updated date. For material changes, we will provide reasonable notice through the service or account contact information. Continued use after the changes take effect constitutes acceptance, to the extent permitted by law. If you disagree, stop using the service and cancel any subscription before it renews.
These terms, applicable plan conditions, and any separate written agreement govern your use of OHLC. A separate signed agreement controls where it conflicts with these terms. If a provision is unenforceable, the remaining provisions continue to apply. Failure to enforce a provision is not a waiver. Questions about these terms may be sent to OHLC LLC at [email protected].
